1. Quotes:

1.1  All quotes supplied to the client from SimpfyTech are valid for 30 days only.
1.2  If any quote supplied is not accepted verbally or via email within 30 days of the date it was issued, then a new section will need to be re-supplied.

2. Payment Terms:

2.1  All total prices exclude GST unless otherwise stated.

2.2  The client has to be invoiced 50% (or otherwise as discussed) of the full quote. And non-refundable deposit amount is required to be paid before any design, development, or optimization work would take place by SimpfyTech.

2.3 SimpfyTech will inform the client about the balance amount that needs to be paid by the client once the work is complete unless otherwise stated in your quote for other arrangements.

2.4  The final amount has to be paid in full, within seven days from the date of the invoice (or if other arrangements as discussed). Failure to make the final payment for the completed project will cancel all final development work and other digital services by SimpfyTech.

2.5  Once the payment takes place in total, Design and development work will be delivered to the client in the declared format.

2.6  For websites, once the final invoice balance has taken place, the website will be scheduled to go live. If the final credit is not processed, the website will remain on the test server until the final balance is processed.

2.7  Due to the client’s inability to provide the required documentation or information needed within 30 days of the client signing the quote and paying a deposit, SimpfyTech reserves the right to invoice the client for any work that has taken place to date.

2.8  Client can pay by direct bank deposit for any work that SimpfyTech has done (will provide bank details via invoice).

2.9  We reserve all the rights to take down your website or project if the project doesn’t appear to be fruitful for SimpfyTech. To date amount of the project would be paid by SimpfyTech

3. Cancellations:

3.1  If the client wishes to cancel their acceptance of the quote supplied, SimpfyTech will invoice the client only for any work done by SimfyTech until the cancellation date.

3.2  For cancellations, the client must notify SimpfyTech via phone/email and in writing to not proceed with any work with a closing signature to verify the authenticity of the cancellation by the client.

3.3  If, before the completion of the project, the client observes non-conformance with the project structure, SimpfyTech must receive the notice promptly, allowing for necessary corrections to be made.

3.4  Rejection of the completed project or cancellation during its execution will result in forfeiture of the deposit and the possible billing for additional labor or expenses made to date. And must return all elements of the project to SimpfyTech. Any usage by the client of those design and development elements will result in proper legal action.

4. Website, Logo, and Graphics Content:

4.1  Clients of SimpfyTech are required to ensure that the content of their website, logo, and graphic work meets all the current Australian legislation regarding publications. The client should further assure SimpfyTech regarding any claims, costs, and expenses that may reflect any material included in their work completed by SimpfyTech at the client’s request.

4.2 SimpfyTech reserves the right not to include any material supplied by the client if deemed inappropriate or offensive to publicize.

5. Information Supplied:

5.1  Quotes issued by SimpfyTech assumes that the client will provide all information, either in digital or hard copy format, needed to complete the work:

  • Hard copies to be typed out and delivered on white A4 paper.
  •  Good quality brochures/flyers/posters and support material are acceptable.
  •  Digital document files are acceptable in the following formats: Microsoft Word, Excel, Publisher, WordPad, .txt, .rtf. Do notify SimpfyTech of any other file formats not mentioned.
  • Image files are acceptable in the following formats: .gif, .jpg, .tif, .png, .psd, .pdf. Do notify SimpfyTech of any other file formats not mentioned.
  •  Media files are acceptable in the following formats: .wav, .mp3, .mpeg, .wma. Do notify SimfyTech of any other file formats not mentioned.

6. Disclosure of User Information:

6.1 SimpfyTech does not sell, trade, or transfer User Information to third parties. However, we may share User Information with our business partners for marketing, advertising, or product/service offering purposes. -We disclose User Information if we have your consent. We need to share it to provide you with the products and services you have requested (sharing with hosting service providers).

6.2  We respond to a court order or if you violate our Terms and Conditions contract.

7. Verification:

7.1  Ongoing work for any logos, websites, or other graphic designs must be signed off progressively by the client before any further work is complete.

8. Permissions & Copyrights:

8.1  The client will obtain the necessary permissions and copyright authorities concerning using all graphics, texts, registered company logos, names, trademarks, or any other material that must be authorized.

8.2  Supply of all mentioned material will regard as a guarantee by the client to SimfyTech that will obtain all permissions and copyright authorities.

8.3 SimpfyTech will accept no responsibility for damages to or losses incurred by the client from using such material that required permission or authority that did not obtain it.

8.4  All graphic material designed and supplied from SimpfyTech remains the property of SimpfyTech until the client’s invoice for the work has been paid in full either by direct bank deposit or cheque (see Payment Terms). Meanwhile, ownership and copyright of the graphics used will be residing with the client.

9. Errors & Liabilities:

9.1  All design and development work, especially websites created by SimpfyTech, will be ensured that they are all free of errors. 

9.2  All design and development work, especially websites created by SimpfyTech that contain any errors, will be corrected by that of the staff at SimpfyTech to ensure full delivery of a completed and working product to the client. 

9.3 SimpfyTech does not accept any responsibility for any losses or damages arising from errors or external unauthorized users within any website once gone “live” via the Internet.

10. Alterations:

10.1 SimpfyTech will not accept any responsibility for any alterations to websites, logos, or other graphics material made by either the client or a third party that will cause errors, especially to websites. Such alterations may include but are not limited to; additions, modifications, or deletions.

10.2  If SimpfyTech is required to correct any such errors mentioned above, the client will be charged an additional fee.

WEBSITE WARRANTY

11. Inclusion:

11.1 Upon deployment of your website, SimpfyTech will cover up to 30 days of free warranty for any defects involved within your website as well as any content change required.

12. Limitation:

12.1 Extra functionality that needs to add to the website will incur an additional fee.

12.2 Any defects related to 3rd party developers, 3rd party database integration, 3rd party software, or 3rd party plug-ins not covered under warranty.

13. Exclusion:

13.1 The right to warranty is forfeit if the website or the codes within the website are accessed by any third-party company for whatever reasons.

14. Extension:

14.1 Warranty cannot extend for the same project. However, you can choose to purchase packages for website and software maintenance and support. All Maintenance and Support packages purchased at the time of the website going live receive exclusive discounts.

15. Search Engine Registration :

15.1 The client’s registered website with search engines will not guarantee the acceptance of the client’s listing or that the client’s listing will appear in the first ten listings.

15.2 Websites may take several months for significant search engines to index the client’s website.

15.3 Search Engine Optimization is only one part of the client’s online marketing tool. It should also include the client’s website address
in all the client’s advertising material such as letterheads, business cards, Print/Radio/TV, etc.

15.4 Including a website link from many other websites may increase the chances of the client’s website being listed higher in various search engines.

15.5 Reregistering and changing the content within the client’s website will ensure the search engine re-indexes the listing.

If your overdue account refers to a collection agency and law firm, you will be liable for all costs incurred as if the debt has to be in full, including legal demand costs.
